Terms of Service

These Terms govern your use of Strata Connect. By creating a workspace, connecting a channel, or otherwise using the service, you agree to them. If you don't agree, don't use the service.

1. What Strata Connect is

Strata Connect is an AI-powered business concierge operated by Bscale Laboratories, Incorporated. Operators connect their communication channels — Facebook Messenger, Instagram Direct, Facebook Page comments, Instagram comments, and others — upload knowledge about their business, and configure AI agents that respond to inbound customer messages and comments. Operators can also take manual control of any conversation or comment thread at any time.

2. Who can use Strata Connect

You may use Strata Connect if:

  • You are at least 18 years old
  • You are registering on behalf of a legitimate business
  • You are authorized to connect the accounts and pages you link (your own or with explicit permission from the owner)
  • You comply with the laws of your jurisdiction
  • You have not been previously banned from Strata Connect

By connecting a Meta asset (Facebook Page or Instagram account), you confirm you are an admin of that asset or have the admin's written permission.

3. Your responsibilities as an operator

You are responsible for what happens inside your workspace. That includes:

  • Content. You own the knowledge base content you upload and are responsible for its accuracy and legality.
  • Consent. You obtain any consents your own privacy policy and local law require from the people messaging your business.
  • Platform compliance. You follow the rules of every channel you connect, including but not limited to the Meta Platform Terms, Messenger Platform Policy, Instagram Platform Policy, and the Facebook Pages API and Instagram Graph API terms that govern comment access and moderation.
  • Escalation. You configure appropriate guardrails and escalation thresholds for conversations that should not be handled by AI alone.
  • Team access. You manage your workspace members and revoke access when teammates leave.

4. Acceptable use

Don't use Strata Connect to:

  • Send unsolicited mass outreach outside the limits of the platform policies on each channel
  • Collect sensitive personal data (health, financial account details, government ID numbers) through the AI without implementing your own safeguards
  • Impersonate another business or person
  • Send spam, scams, or content that promotes illegal activity
  • Conduct regulated activities (medical diagnosis, legal advice, financial advice) without the licenses and disclaimers your jurisdiction requires
  • Reverse-engineer, scrape, or attempt to extract the underlying AI models
  • Circumvent rate limits, access controls, or usage quotas
  • Interfere with the security or integrity of the service

Violations may result in suspension or termination with no refund of fees paid.

5. AI outputs

Strata Connect uses large language models to generate responses on your behalf. AI outputs can be wrong, incomplete, or unexpected — even when grounded in your knowledge base. You are responsible for:

  • The escalation rules and guardrails you configure
  • Reviewing AI behavior in high-stakes conversations
  • Any commitment your AI agent makes to a customer on your behalf

We make best-effort improvements to agent quality, but we do not warrant that AI outputs are accurate, complete, or appropriate for any particular purpose.

6. Our responsibilities

We will:

  • Operate Strata Connect on a best-effort basis and aim for continuous availability
  • Communicate transparently during incidents that materially affect the service
  • Honor the retention and deletion commitments in our Privacy Policy
  • Give at least 30 days' notice before material changes that reduce the service or change these Terms

7. Fees

Strata Connect is currently in demo and early-access tiers. Paid plans and billing terms will be published before fees are charged. If you are using a paid tier, the pricing and billing terms in your order form or plan selection control alongside these Terms.

8. Intellectual property

You keep ownership of your workspace content — your knowledge base, your configurations, your customer conversations. You grant Bscale a limited license to process that content solely to operate the service.

We keep ownership of the Strata Connect platform, software, and trademarks. Nothing in these Terms transfers that to you.

9. Service availability

Strata Connect is provided "as is" and "as available." We do not warrant uninterrupted operation, absence of errors, or fitness for a particular purpose. Scheduled maintenance, third-party outages (Meta, Anthropic, hosting providers, email delivery), and unforeseen incidents may affect availability.

10. Limitation of liability

To the maximum extent permitted by law:

  • Neither party is liable for indirect, incidental, consequential, special, or punitive damages (including lost profits, lost data beyond our retention commitments, or business interruption) arising out of or related to the service.
  • Bscale's total aggregate liability for any claim arising out of or related to the service is capped at the fees you paid to Bscale in the 12 months before the claim, or PHP 10,000 if you are on a free or demo tier.

Nothing in these Terms limits liability that cannot be limited under Philippine law.

11. Indemnification

You agree to defend and indemnify Bscale against third-party claims arising from (a) your use of the service in violation of these Terms, (b) your violation of a channel's platform policies, (c) your content, or (d) your violation of someone else's rights. We will notify you promptly of any such claim and cooperate with your defense.

12. Termination

You may stop using Strata Connect and delete your workspace at any time from Settings. We may suspend or terminate your workspace if you materially breach these Terms, if we are required to by law, or if continued operation creates unacceptable risk to the service or other users.

On termination, data retention follows the schedule in the Privacy Policy. Surviving sections of these Terms (IP, disclaimers, limitation of liability, governing law) continue to apply.

13. Governing law and venue

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws rules. Any dispute will be resolved exclusively in the courts of Makati, Metro Manila, Philippines. You and Bscale waive the right to a jury trial where permitted.

14. Changes to these Terms

We may update these Terms. Material changes will be announced at least 30 days before they take effect, by email to operators and on this page. Continued use of the service after the effective date of a change means you accept the updated Terms. If you don't accept them, stop using the service and close your workspace.

15. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Bscale about Strata Connect.
  • No assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Severability. If any section is unenforceable, the rest stays in effect.
  • No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
